These Terms and Conditions ("Terms") govern your use of the website runiccoders.com and all digital marketing, SEO, web development, advertising, and creative services provided by Runic Coders, a company based in Jalandhar, Punjab, India, founded by Ganesh Parshad Sharma.

By accessing our website, submitting an inquiry, signing a service agreement, or making a payment, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Definitions

Throughout this agreement, the following terms apply:

  • "Client," "You," "Your": The individual, business, or entity engaging Runic Coders for services.
  • "Company," "We," "Us," "Our": Runic Coders, its employees, contractors, and representatives.
  • "Services": SEO, social media handling, Meta Ads, Google Ads, performance marketing, website design, web application development, video editing, AI video production, graphic design, CRM setup, and any related consulting.
  • "Deliverables": All files, reports, creatives, code, campaigns, and assets produced by Runic Coders under a signed proposal or invoice.
  • "Project": A specific scope of work defined in a proposal, quotation, or service agreement.

2. Service Engagement and Proposals

All projects begin with a written proposal or quotation sent via email or presented in person. Proposals include:

  • Detailed scope of work and deliverables.
  • Project timeline with milestone dates.
  • Total cost, payment schedule, and applicable taxes (GST @ 18% as per Indian law).
  • Client responsibilities (content, approvals, account access).

A project is considered confirmed only upon receipt of the advance payment (typically 50% of the total project value) and a signed acceptance of the proposal, sent via email or physical signature.

3. Payments, Refunds, and Late Fees

Runic Coders operates on the following payment structure:

  • One-Time Projects: 50% advance before work begins; 50% upon delivery or before website/app goes live, whichever is earlier.
  • Monthly Retainers (SEO, Social, Ads): Payment due on or before the 5th of every month. Services may be paused if payment is delayed beyond 7 days.
  • Ad Spend: Client ad budgets for Google Ads and Meta Ads are billed separately and must be credited directly to the client's ad account. Runic Coders does not hold ad spend.
  • Refund Policy: Advance payments are non-refundable once work has commenced. If Runic Coders fails to deliver the agreed scope within 30 days of the deadline due to internal reasons, a pro-rata refund may be issued at our discretion.

Late payments incur a fee of 2% per week on the outstanding amount. Persistent non-payment may result in service termination, removal of deliverables from hosting, and legal recovery under Indian contract law.

4. Client Responsibilities

For Runic Coders to deliver results efficiently, the Client agrees to:

  • Provide all necessary content, images, logos, brand guidelines, and account access (Google Ads, Meta Business Manager, website hosting, domain registrar) within 3 business days of project kickoff.
  • Respond to approval requests, feedback rounds, and revision requests within 48 hours.
  • Ensure all provided materials do not infringe third-party copyrights, trademarks, or intellectual property rights.
  • Maintain valid domain registration and hosting subscriptions for website projects. Runic Coders is not liable for downtime caused by expired hosting or domain issues.

Delays caused by the Client (content delays, unresponsive feedback, access issues) extend the project timeline proportionally without penalty to Runic Coders.

5. Intellectual Property and Ownership

Ownership and licensing of deliverables are structured as follows:

  • Upon Full Payment: The Client receives full ownership rights to all custom designs, code, graphics, and video content created specifically for their project.
  • Third-Party Assets: Stock images, premium fonts, plugins, or software licenses purchased by Runic Coders on the Client's behalf are licensed to the Client subject to the original vendor's terms. Runic Coders does not transfer ownership of its internal templates, frameworks, or proprietary tools.
  • Portfolio Rights: Runic Coders retains the right to display completed work in our portfolio, case studies, social media, and marketing materials unless explicitly restricted by a signed Non-Disclosure Agreement (NDA).

6. Confidentiality and Data Protection

Both parties agree to treat all proprietary information, business data, customer lists, and campaign strategies as confidential. Runic Coders complies with the Information Technology Act, 2000 and applicable data protection standards in India. For detailed data handling practices, please refer to our Privacy Policy.

7. Limitation of Liability

Runic Coders provides digital marketing services on a best-effort basis. We do not guarantee specific outcomes such as:

  • Exact Google search rankings or permanent Page 1 positions, as algorithms are controlled by third parties.
  • Specific revenue, lead volume, or return on ad spend (ROAS) figures, as results depend on market conditions, product quality, and competition.
  • Uninterrupted website uptime, as hosting and server infrastructure may be managed by third-party providers.

Runic Coders' total liability for any claim arising from our services shall not exceed the total amount paid by the Client for the specific project or retainer month in which the issue occurred.

8. Revisions and Change Requests

Each project includes up to two rounds of revisions as specified in the proposal. Additional revisions or scope changes ("change requests") will be quoted separately and billed at our standard hourly rate. Major scope changes (new features, additional pages, extra ad campaigns) require a revised proposal and may reset the project timeline.

9. Termination

Either party may terminate the agreement with written notice:

  • By Client: 15 days' written notice for monthly retainers. No refunds for the current billing cycle. One-time projects cancelled after work commencement forfeit the advance payment.
  • By Runic Coders: Immediate termination for non-payment, abusive behavior, illegal activity, or breach of these Terms. Deliverables may be withheld until outstanding payments are cleared.

10. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Any dispute arising from this agreement shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts in Jalandhar, Punjab, India.

11. Amendments

Runic Coders reserves the right to modify these Terms at any time. Updated Terms will be posted on this page with a revised effective date. Continued use of our services after changes constitutes acceptance of the updated Terms.
